The lower congress approved an initiative with a Draft Decree reforming several provisions to the General Law of Commercial Corporations (the “Law”). With such amendment, it is intended to incorporate telematic means for holding shareholders meetings or board of directors/managers meetings.
The initiative indicates that the bylaws or articles of incorporation of companies must contain the guidelines for holding shareholders’ and board meetings personally or through electronic, optical or any other technology, provided that participation is simultaneous and interaction in the deliberations is allowed.
Regarding the corporate address, a meeting held by telematic means shall not be deemed to have been held outside the registered office as long as all the shareholders approve it.
