According to Article 9 of the Foreign Investment Law (“Law”), the previous authorization from the National Commission on Foreign Investments (“Commission”) is required in order for foreign investors to participate in the capital stock of Mexican company(ies) carrying out activities not subject to a specific regulation in a percentage exceeding 49% in the capital stock of such company(ies), only when the total assets of the company(ies) exceed at the time of the corresponding application certain monetary threshold established by the Commission on an annual basis.

 

On June 6th, 2022, the Commission published at the official newspaper the updated threshold, which is now established in the amount of MX$22,647,201,250.50 pesos (equivalent to US$1,155,469,451.55 dollars, at an exchange rate of $19.60 pesos per US Dollar).

 

Independently of the foregoing, according to the Law and its Regulations, there are certain activities in Mexico that are subject to specific limitations on the participation of foreign investors, or well, the participation of such investors is not allowed.
